1. Who We Are
Seamlytics is a web-based tailor management platform operated by Lealton Systems, 3 Chapel Street, Congleton, CW124AB. Email: admin@lealtonsystems.com.
2. Acceptance & Accounts
- You must be at least 18 years old and able to form a binding contract.
- You're responsible for safeguarding your credentials and all activity under your account.
- You must provide accurate information and keep it current.
3. Subscriptions, Billing & Taxes
- Seamlytics is offered on a monthly or annual subscription. Prices may change with prior notice.
- Payments are processed by third parties: Flutterwave, Paystack, and Stripe.
- Unless stated otherwise, fees are non-refundable except where required by law. Any refund will use the original payment method.
- Subscriptions auto-renew unless cancelled before renewal. You can cancel anytime in your account; access continues until the end of the paid term.
- Applicable taxes (e.g., VAT/GST/Sales tax) may be added based on your billing location.
- Trials/promotions may be offered with specific terms and may change or end at our discretion.
4. Permitted Use & Fair Usage
- Use the Service to manage clients, projects, measurements, analytics, and invoicing for your tailoring business.
- You are responsible for the accuracy and legality of data you input, including obtaining any necessary consents from your clients.
- You will not: (i) reverse engineer or attempt to access source code; (ii) interfere with or disrupt the Service; (iii) use the Service for unlawful or harmful activities; (iv) exceed plan limits in a way that degrades the Service for others.
- We may apply reasonable rate limits or storage caps consistent with your plan.
5. Intellectual Property & License
- All rights in and to the Service (software, UI, trademarks, and content we provide) are owned by Lealton Systems or its licensors.
- Your Content. You retain ownership of client data, project files, measurements, invoices, and other content you submit ("Customer Data").
- You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and back up Customer Data solely to operate, maintain, and improve the Service.
- You represent that you have the rights and permissions necessary to submit Customer Data to the Service.
6. Privacy & Data Protection
Our handling of personal data is described in the Privacy Policy. If you require a Data Processing Addendum (DPA), contact admin@lealtonsystems.com.
7. Availability, Support & Changes
- We aim for high availability but do not guarantee uninterrupted Service.
- Support is provided via in-app help and email during business hours (UK time) unless otherwise stated by your plan.
- We may modify features, impose new limits, or discontinue parts of the Service with reasonable notice where practicable.
8. Term, Suspension & Termination
- You may cancel at any time (effective at the end of the current paid term).
- We may suspend or terminate immediately for material breach, abusive behavior, or legal risk.
- Upon termination, your access ends. We will handle your data as described in the Privacy Policy, including offering a reasonable window to export data when feasible.
9. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free or uninterrupted.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEALTON SYSTEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THAT PERIOD.
11. Indemnity
You will defend, indemnify, and hold harmless Lealton Systems and its affiliates from and against claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or breach of these Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice (for example, by email or in-app). Your continued use after the effective date constitutes acceptance.
